What corporate legal work costs in Georgia

Almost nobody publishes rates, which makes this harder to budget than an accountant. The market in 2026 looks roughly like this. Partner time at the directory-ranked firms runs 150 to 400 USD an hour, with associate time well under that. Boutiques and small practices sit closer to 60 to 150 USD. Fixed fees are normal at the small end: a formation with a properly drafted charter lands between 800 and 2,500 GEL, and a shareholders agreement for two or three founders runs roughly 2,000 to 6,000 GEL. Full legal due diligence on an acquisition starts around 5,000 USD and climbs quickly from there.

Those are observed bands, not quotes. Get a written estimate that states how many drafting rounds are assumed, because producing a first draft is cheap and negotiating it is not.

How to choose

Match the firm to the transaction rather than to the ranking table. A Tier One M&A practice is the wrong shape for reviewing supplier contracts every month, and a two-person boutique is the wrong shape for a share purchase with foreign lenders on the other side of the table.

Worth establishing on the first call

  • Who does the drafting. Partner-fronted pitches followed by associate drafting are normal. You just want to know before you pay partner rates.
  • Where the mechanics will live. A Georgian court applies the registered charter to a Georgian entity, whatever a side agreement says.
  • What the fee covers. Ask whether the quote includes negotiation and the registry filings, or only the first draft.
  • Conflicts. It is a small market with few serious firms. If they already act for your counterparty, you want that on the table now.

Red flags

  • A charter lifted from the standard Public Registry template and billed as bespoke drafting. If it has no deadlock, drag-along or exit provisions, it is a template.
  • Advice that a shareholders agreement on its own protects you. Mismatches between the agreement and the registered charter cause real damage.
  • No engagement letter and no written scope. Corporate work expands by nature.
  • Anyone predicting a specific court outcome. Georgian commercial litigation is not that reliable.
  • A single quote bundling company registration, accounting, a bank introduction and residency, with no named lawyer attached to any of it.

When you do not need to pay for this

Registering a single-member LLC with no outside investors does not need a lawyer. The registry process is quick, the standard charter is free, and an accountant can carry the rest.

Start paying the moment a second person holds equity. Also pay when you take outside money, sign a contract worth more than about a year of revenue, hire your first employees on Georgian contracts, or buy an existing business instead of building one. A shareholders agreement drafted while everyone still gets along costs a fraction of arguing about its absence later.
